Terms and Conditions
1. Scope and introduction
These Terms and Conditions govern the use of the services of Alphabees UG (beschränkte Haftung) ("Alphabees," "we," "us," or "our"). This includes our AI tutor, the management portal, and all related subscription models.
By registering for or using our services, you accept these Terms. They apply to all customers and users ("customers," "users," or "you"). Deviating or additional terms of the customer apply only if we have agreed to them in writing.
2. Service description
2.1 Platform and services
Alphabees provides a web-based platform for managing and delivering AI‑assisted tutoring services and related features. All content configured, uploaded, or otherwise used by the customer is considered a "user contribution." The customer is solely responsible for all user contributions they create.
2.2 Abonnement
The customer purchases a subscription for access to Alphabees services as described in the relevant contract or product plan. Access to and use of the service is solely for the customer's internal use and that of authorized users.
2.3 Usage limits
The scope of our services depends on the subscription plan chosen by the customer. Each plan includes usage quotas consisting of:
Once any of the limits are reached, use of our services is blocked. Additional requests can only be unlocked by upgrading the subscription.
2.4 Usage overview
Customers can view their current usage at any time in our customer portal. We notify the customer by email once a certain percentage of the quota is reached.
3. Usage restrictions
3.1 Customer responsibility
The customer is responsible for all activity on its account and the accounts of its users unless such activity results from unauthorized access to the platform.
3.2 Prohibited use
The customer agrees not to modify, decompile, or attempt to extract the source code of the service. The customer will not use the service in a way that violates applicable law or jeopardizes the integrity of the service.
4. Third-party services
Our services may include interfaces to third‑party products, services, or applications not controlled or operated by Alphabees ("third‑party services"). Customers may use these third‑party services in connection with our services.
Alphabees does not recommend or endorse third‑party services. The customer acknowledges that these Terms contain no provisions governing use of third‑party services and that the customer may need separate agreements with those providers. Alphabees is not liable for issues arising from the use or inability to use third‑party services.
5. Term and cancellation
5.1 Minimum term and automatic renewal
The minimum term is 1 month. The subscription renews automatically for another month unless canceled on time.
5.2 Cancellation periods
Changes such as downgrades take effect only at the end of the current billing period.
5.3 Upgrades
An upgrade means the customer moves from an existing subscription plan to one with a higher service level. Upgrades take effect immediately upon payment. The quotas of the new plan are fully available from that time. Unused quotas from the previous plan expire when switching to the new plan.
6. Billing and payment
The billing cycle is individual and begins on the contract date.
Payments are due in advance at the start of each billing period.
Payment processing is handled by our payment provider Stripe. Invoices are provided in the customer portal and issued by Stripe. We do not store payment data; it is processed exclusively by Stripe.
Payments already made are non-refundable.
If payment is overdue, access to our services, including WebSocket connections, is suspended until outstanding amounts are fully paid.
7. Usage rights and data license
Customers grant Alphabees a non-exclusive, worldwide, royalty-free license to use, process, and display the content and data they provide ("user data"), solely to deliver the agreed services.
Rights to data submitted by the customer remain fully with the customer. No implied rights or licenses are granted.
8. Privacy
Alphabees processes personal data in accordance with the GDPR and German privacy laws. Customer personal data is stored and processed exclusively on servers of Contabo GmbH in Munich, Germany, which meet strict GDPR requirements.
Under the GDPR, customers remain the data controllers for personal data they upload. Alphabees acts as a data processor and processes such data only on customer instructions.
Alphabees has concluded a data processing agreement (DPA) with Contabo GmbH under Art. 28 GDPR, ensuring GDPR-compliant processing.

9. Limitation of liability
Alphabees is liable only for damages caused by intent or gross negligence. In cases of slight negligence, we are liable only for breach of essential contractual obligations, and liability is limited to the foreseeable, typical damage.
Alphabees is not liable for indirect, special, incidental, or consequential damages, including lost profits, business losses, or data loss, even if we have been advised of the possibility of such damages.
The liability of the managing directors and partners of Alphabees UG (beschränkte Haftung) is limited to the fees paid by the customer in the twelve (12) months prior to the damaging event. Personal liability of the managing directors is expressly excluded to the extent permitted by law.
These liability limitations do not apply in cases of injury to life, body, or health, or for claims under product liability law.
10. Confidentiality
Both parties agree to keep confidential all information exchanged during the cooperation. Confidential information may only be disclosed with the other party's explicit consent or if required by law.
Certain provisions of this agreement, such as sections on financial terms, limitation of liability, confidentiality, and third‑party services, remain in effect after termination or expiration of this agreement.
11. Changes to the Terms
Alphabees reserves the right to change these Terms. Changes will be announced at least 30 days before they take effect. Customers who do not agree to the changes may terminate their subscription effective on the date the changes take effect.
12. Final provisions
These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is the registered office of Alphabees UG (beschränkte Haftung).
If individual provisions of these Terms are invalid, the remaining provisions remain unaffected.
These Terms do not create rights for third parties.
The contract language is German.
